DAAD Dealer Terms
Draft conditions for professional dealers using the DAAD Auto Marketplace.
1. Parties and scope
These terms govern the business relationship between Danube Automotive Assembly Development SRLS (“DAAD”) and each professional dealer admitted to the DAAD Auto Marketplace. The dealer's legal identity, authorised representative, subscription, billing details and activation date must be recorded in a separate order or account confirmation.
DAAD's initial dealer recruitment is planned for Italy, Romania and Germany. Admission of a dealer does not by itself authorise consumer-facing activity in every country. Each dealer may offer vehicles only in the countries expressly activated for it after DAAD and the dealer have completed the applicable legal, tax, delivery, registration and consumer-information checks.
2. Marketplace role
DAAD acts solely as the online marketplace intermediary. The dealer is the seller, makes each vehicle offer, enters into any vehicle sale contract directly with the buyer, issues the vehicle invoice and receives the vehicle price or any deposit. DAAD does not become a party to the vehicle sale and does not collect the buyer's vehicle payment.
DAAD reservation and financing forms create enquiries only. The dealer must provide its final pre-contract information and contract directly to the buyer before any binding obligation or payment arises.
3. Admission and verification
The dealer must provide accurate and current company, registration, tax, contact, representative and payment-account information requested for trader verification. It must promptly report material changes and confirm that it offers only vehicles and services that comply with applicable EU and national law. DAAD may request supporting documents and re-verification.
Before approval, DAAD records separate checks of the commercial register, authorised representative, public business contacts and the applicability or completion of the payment-account verification. Identity documents and bank details remain restricted; the dealer's legal and trading names, commercial register and number, VAT number where supplied, registered business address, public email and telephone, website where supplied, verification status and compliance self-certification may be displayed to marketplace users. A material change may return the profile to review and pause publication until re-verification is complete.
4. Listings and dealer responsibility
The dealer is responsible for every listing and must have the right to sell the vehicle. Information must accurately cover the seller, VIN and vehicle identity, mileage, condition, known damage or defects, ownership and registration documents, inspection and service information, availability, total price, VAT and unavoidable charges, delivery, guarantees, complaints and any applicable withdrawal information.
The dealer must keep listings current, cooperate with safety investigations and recalls, preserve supporting evidence and promptly remove unavailable, unsafe, unlawful or misleading offers.
A vehicle cannot be made public merely because the dealer selects “available”. The dealer first submits a complete dossier containing current photographs, VIN, ownership/right-to-sell evidence, registration evidence and all material price, tax, condition, safety, delivery, warranty, complaint and cancellation disclosures. DAAD then records separate checks of vehicle identity, ownership, price and VAT, condition and safety, and pre-contract information. Only an approved dossier may be published. A material dealer edit returns the listing to private review; rejection or a request for changes keeps it private.
5. Subscription and fees
DAAD's confirmed working commercial model combines a monthly dealer subscription with a fixed success fee for each completed vehicle sale attributable to the DAAD marketplace. Buyer access remains free. DAAD does not collect the vehicle price, any deposit or the success fee from the buyer; DAAD invoices its fees separately to the dealer.
Monthly subscription
The dealer selects a monthly plan according to the maximum number of vehicle listings that may be simultaneously active. Draft, sold and archived vehicles do not consume active-listing capacity. The working plan family is:
| Dealer subscription | Maximum active listings | Monthly fee |
|---|---|---|
| Premium 25 | 25 | €99 plus applicable VAT |
| Premium 50 | 50 | €179 plus applicable VAT |
| Premium 100 | 100 | €299 plus applicable VAT |
| Premium 150 | 150 | €399 plus applicable VAT |
| Enterprise | More than 150, as stated in the order | From €499 plus applicable VAT |
A dealer may store additional vehicles as drafts, but only the number included in its current plan may be published or reserved at the same time. An upgrade may be requested when more capacity is required. A downgrade cannot take effect while the dealer has more active listings than the lower plan permits. DAAD must not apply an automatic paid upgrade without the dealer's express acceptance. The final commercial order must state the selected plan, exact Enterprise capacity where applicable, included services, billing start date, payment date, renewal, cancellation and effective date of any plan change.
Success fee per completed sale
| Final vehicle sale price | Dealer fee payable to DAAD |
|---|---|
| Up to and including €25,000 | €500 plus applicable VAT |
| More than €25,000 and up to and including €35,000 | €750 plus applicable VAT |
| More than €35,000 and up to and including €50,000 | €1,000 plus applicable VAT |
| More than €50,000 | €1,500 plus applicable VAT |
The final approved terms and commercial order must define when a sale is attributable to DAAD, the evidence and reporting required from the dealer, the price basis used to select the band, invoicing and payment deadlines, cancellations or returns, audit rights and the treatment of circumvention. These details are not yet legally effective.
Controlled sale reporting and non-circumvention
For the private operating model, a completed sale is recorded as attributable to DAAD when the buyer first contacted or reserved the relevant vehicle through a traceable DAAD lead and the dealer later concludes that sale with the buyer. The dealer must promptly record the final price, sale date and its invoice or contract reference in the protected transaction dossier. It must not redirect, conceal or complete an attributable transaction outside the recorded workflow for the purpose of avoiding the DAAD success fee. The definitive attribution period, evidence rules, adjustments for cancellation or return, audit process and remedies require express legal approval and inclusion in the accepted commercial order.
Every marketplace contact, reservation or financing-information request is linked to a traceable dealer lead. Reservation status is recorded only from that lead and temporarily removes the approved vehicle from the public catalogue. A vehicle cannot be marked sold from the inventory form. The sale declaration is accepted only for the approved vehicle linked to the lead and opens the DAAD transaction dossier; DAAD must then verify the sale before the success-fee billing record may be issued.
No subscription or success fee is due merely because this draft is displayed or a test account exists. Commercial billing starts only under an accepted order and final Dealer Terms.
6. Auxiliary buyer services
After a vehicle sale is agreed directly between the dealer and buyer, DAAD may coordinate optional financing, insurance, registration, delivery, inspection or warranty support requested by the buyer. Regulated services are performed only by separately identified and appropriately authorised partners under their own terms. DAAD does not represent itself as the insurer, lender, registration authority or regulated service provider unless it separately obtains the authorisation required by law.
The buyer's information may be transmitted to a selected partner only after the relevant information and consent are recorded. DAAD may receive a contractual referral or service commission from a partner; applicable remuneration and conflicts disclosures must be completed before commercial activation. These partner commissions are separate from the dealer's vehicle price and DAAD's dealer subscription and success fee.
7. Ranking and differentiated treatment
The current default “Recommended” order follows the marketplace catalogue order. Buyers may sort and filter by disclosed vehicle and dealer characteristics. The launch subscription does not purchase a hidden ranking advantage. Any future sponsored placement, differentiated access or paid ranking influence must be clearly described and visibly labelled before use.
8. Data and intellectual property
The dealer may access its account, listings and enquiries made available through its workspace during the relationship. DAAD may access and use dealer and listing data to operate, secure, moderate and demonstrate compliance of the marketplace. Customer data may be used only to handle the relevant enquiry or sale and must not be used for unrelated marketing without a lawful basis.
The dealer confirms that it has the necessary rights to all names, trade marks, photographs, documents and descriptions it supplies and grants DAAD the rights needed to display and operate the listing during the relationship. Final data access, export, retention and post-termination rules must be stated in the approved version.
9. Restriction, suspension and termination
DAAD may restrict a listing or account for inaccurate information, failed verification, non-payment, consumer or safety risk, unlawful content, security incidents or material breach. Except where immediate action is required by law, safety or security, DAAD will provide the applicable notice and a statement of reasons, together with an available review or complaint route. Final notice periods and termination rules must be approved before launch.
The dealer must respond promptly to a traceable DAAD compliance or safety case, preserve requested vehicle and transaction evidence, stop publication or delivery where instructed for a credible safety risk, help identify affected buyers where lawfully required, and cooperate with corrective action, recall communications and competent authorities. DAAD records the risk assessment, action, reviewer, reasoned decision and appeal history; the definitive deadlines and allocation of recall costs require legal approval and the accepted commercial order.
10. Complaints and mediation
Dealers may submit a traceable complaint through DAAD Support about platform operation, technical issues or the business relationship, and may use the appeal route stated in a compliance decision for a listing or account restriction. DAAD will record, review and communicate the outcome. The final terms must identify any legally required mediation options and explain their conditions.
11. Changes, governing law and approval
Material changes must be communicated on a durable medium with the notice required by applicable law. The final Italian-law, jurisdiction, liability, service-level, tax and invoicing clauses will be completed after legal review and before commercial acceptance.
The final approved Italian version will be the legal source and, for the dealer agreement, will prevail in the event of a discrepancy between translations to the extent permitted by applicable law. Complete English, Romanian and German contractual versions will be provided for the relevant dealers and must remain consistent with the Italian source. This language clause does not exclude mandatory rules that apply to a dealer or market.
